San Diego Facilities and Equipment Leasing Corporation

The San Diego Facilities and Equipment Leasing Corporation (the "Corporation") is a nonprofit public benefit corporation that was established to acquire and lease and/or sell to the City of San Diego real and personal property to be used in the municipal operations of the City and for the financing of municipal construction projects. The Corporation has no taxing power. Certificates of participation and other securities issued by the City with lease payments payable to the San Diego Facilities and Equipment Leasing Corporation are supported by a variety of revenues and taxes, depending on each issue in each instance, as described in the offering documents for such securities. The City has undertaken to provide continuing disclosure for the benefit of the owners of those securities subject to continuing disclosure requirements.
